Drop shipping fulfilment disclosure

This document serves as a formal disclosure regarding the fulfilment methods utilized by Triada Designs SRL for certain products listed in our e-commerce storefront. This information is integral to our Terms of Sale and is provided to ensure full transparency regarding the delivery process.

1.     Seller Identity and Fulfilment Transparency

a.     Legal Seller: Triada Designs (the “Company”) remains the legal seller and contractual party for all products purchased through the Site.

b.     Fulfillment Partner: The Company utilizes third-party logistics and fulfillment partners (Dropshippers) to process, package, and ship products directly to you. This is an essential component of the sales contract.

2.     Fulfilment Model and Transparency

Triada Designs SRL employs a drop shipping fulfilment model for select jewellery and fashion products.

a.     Direct Supplier Shipment: This means that certain purchased items are not stocked by Triada Designs SRL directly. Instead, following the submission of a valid order, the product is procured from a third-party supplier, who is responsible for packaging and shipping the item directly to the Customer.

b.     Product Identification: Where the drop shipping model is utilized, an appropriate indication or note will typically be present on the respective product page to inform the Customer of this fulfilment method.  

3.     Shipping Timeframes and Delivery Expectations

a.     Extended Processing and Shipping: Due to the drop shipping nature, which often involves international suppliers and varying logistic chains, the total delivery time may be longer than that associated with products shipped directly from Triada Designs SRL’s primary EU location (Germany/Romania).

b.     Estimated Delivery: While we strive to provide accurate delivery estimates at checkout, the Customer acknowledges that these are estimates only and are subject to delays beyond our direct control, including supplier processing times, transit delays and customs clearance procedures. 

c.     You acknowledge and agree that because products are shipped directly from our fulfillment partner, estimated delivery times may be longer than standard retail shipping. The delivery period shall be clearly indicated on the product page or checkout prior to completing your purchase, in accordance with the requirement for timely delivery under the EU Consumer Rights Directive (2011/83/EU).

4.     International Orders and Customs Implications

a.     Global Shipping: Triada Designs SRL ships globally, including to the US, Australia and UAE. Customers ordering from outside the European Union (‘EU”) should be aware of international trade regulations.

b.     Duties, Taxes and Fees: The Customer is explicitly designated as the importer of record for all drop shipped goods shipped internationally. The Customer shall be solely and fully responsible for paying all custom duties, import taxes, fees and clearance charges levied by the destination country’s government or regulatory bodies. These fees are not included in the product price or the initial shipping charges paid to Triada Designs SRL.

5.     Responsibility for Non-Delivery or Defective Goods

a.     Responsibility for Order Fulfilment: Triada Designs SRL retains full responsibility to the Customer for the successful delivery of the ordered products and the quality thereof, in line with EU Consumer Protection Laws and our Returns & Refunds Policy.

b.     Supplier Failure to Deliver: In the event a drop shipping supplier fails to dispatch, loses or otherwise fails to deliver a product to the Customer, Triada Designs SRL commits to the following:

  • Investigation: We will initiate a timely investigation with the supplier and shipping carrier.
  • Resolution: If non-delivery is confirmed, Triada Designs SRL will, at the Customer’s preference, either process a full refund for the purchase price or dispatch a replacement item (subject to availability).

c.     Defective or Non-Confirming Products: Claims regarding defective products or goods that materially deviate from the advertised description shall be processed in strict accordance with the stipulated procedures outlined in Triada Design SRL’s Returns and Refunds Policy.

6.     Risk of Loss and Return Mechanism

a.     Risk Transfer (EU Article 20): The risk of loss or damage to the product transfers to you when you, or a third party indicated by you (other than the carrier), acquires physical possession of the goods.

b.     Return Handling: Notwithstanding the use of a third-party fulfillment partner, all returns, exchanges, and warranty claims must be directed exclusively to Triada Designs at the return address specified in the Returns Policy, not to the fulfillment partner or their shipping location.

7.     International Duties and Fees (Trade Policy Disclosure)

For shipments made to destinations outside of the fulfillment partner’s country, or to the US, UAE, or Australia:

a.     Importer of Record: The customer is the Importer of Record and is responsible for complying with all laws and regulations of the destination country.

b.     Duties and Taxes: The product price does not include any potential import duties, customs fees, taxes, or clearance charges imposed by the destination country (unless explicitly stated otherwise at checkout). These charges are the sole responsibility of the customer and must be paid upon receipt of the shipment. Failure to pay these charges may result in the abandonment or destruction of the package, without entitlement to a refund.

8.     Data Disclosure for Execution of Order

Consent for Data Sharing: By executing an order for a drop shipped product, the Customer provides affirmative consent for Triada Designs SRL to disclose the strictly necessary personal data (specifically the recipient’s name, complete shipping address and contact information) to the designated third party supplier and carrier. This data transfer is performed exclusively for the essential purpose of fulfillment, shipping and delivery tracking and is conducted in compliance with Triada Designs SRL’s Privacy Policy, including GDPR and CCPA/US mandates.

9.     Sub Processor Compliance and International Transfers

Data Transfer Mechanism Confirmation. The Supplier (acting as Data Processor or Sub-Processor) shall ensure that any engagement of a Sub-processor for the processing of Personal Data is governed by a legally binding written contract that imposes equivalent data protection obligations to those set out in this Agreement.

Specifically, the Supplier warrants and undertakes that, prior to instructing any Sub-processor to process Personal Data:

Data Processing Addendum (DPA): The Supplier shall confirm that each Sub-processor has executed a Data Processing Addendum (DPA) incorporating the requirements of Article 28(3) of the GDPR.

International Transfer Compliance: Where the Sub-processor is located in, or processes Personal Data from, a country outside the European Economic Area (EEA) (a “Third Country”) that has not been deemed adequate by the European Commission, the Supplier shall confirm that a lawful data transfer mechanism is in place, which shall, at a minimum, include the execution of the applicable Standard Contractual Clauses (SCCs) (as adopted by the European Commission and current at the time of transfer), supplemented by any necessary additional safeguards following a Transfer Impact Assessment (TIA).

The Supplier shall provide evidence of such compliance (including executed DPAs and SCCs) to the Client upon reasonable request.
